CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP) Terms of Service, Funding Disclaimer, Refund Policy & Client Agreement 1. INTRODUCTION Centre for Inclusion Standards & Practice (CISP) is an AI-powered social impact organization providing technology solutions, CSR readiness services, inclusion auditing, certification support, capacity building, mentoring, consulting, compliance support, ESG advisory, SDG alignment services, NGO assessment tools, and related professional services. By purchasing, subscribing to, accessing, or using any CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP) service, software, platform, assessment, audit, certification, training, mentoring session, onboarding process, or consulting engagement, the client agrees to be bound by these Terms and Conditions. 2. NATURE OF SERVICES CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP) may provide one or more of the following services: AI-Powered NGO Analysis NGO Readiness Assessment CSR Readiness Assessment CSR Company Mapping CSR Opportunity Identification Proposal Development Support Inclusion Auditing Inclusion Certification Support Inclusion Roadmap Design ESG Assessment and Advisory Capacity Building Programs Technology Platforms and Software Solutions CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP) reserves the right to modify, improve, discontinue, or update any service without prior notice. 3. FUNDING DISCLAIMER CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP) is not a funding agency, grant-making institution, donor organization, investment company, financial intermediary, or CSR fund administrator. CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP) does not: Provide grants or donations. Provide CSR funds. Provide investments. Provide sponsorship funding. Provide government funding. Provide foreign funding. Provide loans or financial assistance. Any funding opportunity, CSR partnership, grant, donation, sponsorship, or investment remains solely at the discretion of the respective donor, corporate entity, government body, foundation, or funding agency. 4. NO GUARANTEE OF FUNDING OR PARTNERSHIPS The Client acknowledges and agrees that: Use of CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP) services does not guarantee: CSR Funding Grant Approval Proposal Acceptance Corporate Partnerships Government Project Approval Foreign Contributions Sponsorships Investments Donations Recognition by any third party While CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP) may assist in improving organizational readiness, proposal quality, compliance, documentation, inclusion standards, and CSR positioning, no outcome can be guaranteed. All decisions regarding funding or partnerships remain entirely under the authority of the respective organization evaluating the proposal. 5. CLIENT RESPONSIBILITIES The Client shall: Provide accurate information. Maintain valid registrations and licenses. Comply with applicable laws. Maintain records and supporting documents. Ensure information submitted to CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP)is truthful and complete. The Client is solely responsible for: NGO Darpan Registration PAN Registration 12A Registration 80G Registration CSR-1 Registration FCRA Registration Statutory filings Regulatory compliance CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP)shall not be responsible for incorrect information supplied by the Client. 6. SOFTWARE USAGE TERMS Where software access is provided: Access is limited to authorized users. Login credentials must not be shared. Unauthorized duplication, copying, reverse engineering, or resale is prohibited. CISP retains ownership of all software, algorithms, scoring methodologies, reports, frameworks, and intellectual property. Violation of these terms may result in suspension or termination of access without refund. 7. PAYMENT TERMS All invoices shall be payable as per the agreed payment schedule. Unless otherwise agreed: Payments are non-transferable. Payments are non-refundable except as provided under the Refund Policy. Applicable taxes shall be charged separately where required. Failure to make payments may result in suspension of services. 8. REFUND POLICY 8.1 Professional Services Fees paid for: Mentoring Auditing Certification Assessments Training Proposal Support Documentation Services are non-refundable once services have commenced. 8.2 Software Subscription Refunds If a client discontinues a software subscription during the active subscription period, refund requests may be considered subject to the following conditions: Software must have been functioning properly. Client must provide written cancellation notice. Usage history shall be reviewed. Refunds shall be calculated on the basis of: Total Amount Paid minus Actual Usage Charges minus Setup Costs minus Onboarding Charges minus Third-Party Costs minus Applicable Taxes The remaining unused balance, if any, may be refunded. Refund requests shall be reviewed in good faith byCENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP) in accordance with this policy. CISP's determination regarding refund eligibility shall be final, subject to applicable law. 8.3 Non-Refundable Situations Refunds shall not be provided where: Client changes their mind. Client fails to use the platform. Client fails to provide required information. Client fails to obtain funding. Proposal is rejected. Partnership opportunities do not materialize. Client violates platform terms. Services have already been delivered. 8.4 Technical Issues Where verified technical failures attributable solely to CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP) prevent service delivery, CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP) may: Extend service periods; Provide service credits; Offer pro-rata refunds. The decision shall be at CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP)'s discretion. 9. LIMITATION OF LIABILITY To the maximum extent permitted by law, CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP) shall not be liable for: Loss of funding opportunities. Grant rejection. Proposal rejection. Business interruption. Loss of profits. Indirect damages. Consequential damages. Reputational loss. CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP)'s total liability shall not exceed the amount paid by the Client during the preceding months. 10. CONFIDENTIALITY Both parties agree to maintain confidentiality regarding: Client information Reports Assessments Internal methodologies Business information Proprietary technology Such obligations shall survive termination of services. 11. INTELLECTUAL PROPERTY All intellectual property including: Software Frameworks Methodologies Reports Dashboards Designs Scoring Systems Training Materials remain the exclusive property of CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP)unless otherwise agreed in writing. 12. FORCE MAJEURE CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP) shall not be liable for delays or failures arising from events beyond reasonable control including: Natural disasters Pandemics Internet failures Government actions Cyber incidents Power outages Third-party platform failures 13. TERMINATION CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP)reserves the right to suspend or terminate services where: Terms are violated. False information is provided. Payments remain overdue. Misuse of software occurs. Termination shall not automatically entitle the Client to a refund. 14. GOVERNING LAW These Terms shall be governed by and interpreted in accordance with: Indian Contract Act, 1872 Information Technology Act, 2000 Consumer Protection Act, 2019 (where applicable) Applicable laws of India 15. DISPUTE RESOLUTION & JURISDICTION Any dispute, controversy, or claim arising out of or relating to these Terms and Conditions shall first be attempted to be resolved amicably through mutual discussions between the parties. If the dispute cannot be resolved through mutual discussions, the parties agree to seek resolution in accordance with the applicable laws of India. 16 No Employment or Agency Relationship Nothing contained herein shall create any partnership, joint venture, employment relationship, agency relationship, or fiduciary relationship between CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP) and the Client. 17. ACKNOWLEDGEMENT By purchasing, subscribing to, using, or accessing any CISP service, platform, audit, certification, training, mentorship, onboarding session, assessment, or consulting engagement, the Client acknowledges that: CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP) is a service provider and capacity-building organization. CENTRE FOR INCLUSION STANDARDS & PRACTICE (CISP) does not provide or guarantee funding. Funding decisions are made solely by third-party organizations. Refunds are subject to this policy.
